This report describes red flags and public records identified within a defined scope, as of the date above. It is not investment, legal or tax advice, does not recommend for or against any investment, and is not a guarantee against fraud or loss. Matching a red flag does not mean that fraud has occurred.
1. Summary
Outcome: Completed with limitations.
Quellbrook Harbor offers "Series IV" membership units, marketed as paying a fixed 2% per month with principal "100% protected." The unsigned agreement says distributions are not guaranteed and investors may lose everything. The materials claim more than 11 years of operations; the Florida company was formed in March 2025. County records show none of the four listed properties owned by a Quellbrook entity. Investor money is to be wired to a St. Kitts & Nevis company that is not the company named in the agreement.

5. Findings (two examples)
F-03 · Listed properties not owned by any Quellbrook entity
| Property (deck p. 6) | Claimed | County records (Oct 10, 2026) |
|---|---|---|
| 4417 Gullwing Ct | Operating, 94% | Owned by unrelated individuals since 2011 |
| 218 Tarpon Bay Rd | Operating, 91% | Owned by an unrelated LLC |
| 77 Pelican Reach Dr | Operating, 96% | Owned by the Managing Partner personally; declared primary residence |
| 1290 Osprey Lane | Renovation | Address not found |
Possible innocent explanations: properties managed under lease; purchases not yet closed; title held by an undisclosed entity.
What would resolve it: deeds or signed management agreements naming the Quellbrook entity.
F-13 · Agreement contradicts the marketing
The agreement states distributions are "not guaranteed," the investment is speculative, and the partner "may lose all of its investment." It requires a 24-month hold, 90 days' notice and an 8% withdrawal fee, and allows withdrawals to be suspended at any time. The presentation says principal is "100% protected" and does not mention these terms.
Evidence: Agreement §4, §5, §7; presentation p. 5; message of Aug 27, 2026 (customer-provided materials).
10. Questions to ask the promoter

- Which entity owns each of the four properties? Please provide the deeds.
- Why is money paid to VCG Treasury Management LLC in St. Kitts & Nevis instead of the issuer?
- Which SEC registration or exemption does the offering rely on?
- Please provide the wallet and position addresses holding investor funds.
